1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Appthalmology Inc. ("we", "us", "our") regarding your use of the ModLab mobile application ("App"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Description of Service
ModLab is an AI-powered mobile application that provides:
- AI-generated car modification visualizations
- Upload and customize car photos
- Template library for quick transformations
- Mod Builder for detailed customization
- Gallery to save and share your creations
- Premium features available through subscription
3. Eligibility
You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use this App. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use this App.
4. License Grant and Restrictions
4.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on devices you own or control, solely for your personal, non-commercial use.
4.2 Restrictions
You agree NOT to:
- Modify, reverse engineer, decompile, disassemble, or create derivative works of the App
- Remove, alter, or obscure any proprietary notices from the App
- Use the App for any illegal, harmful, or unauthorized purpose
- Attempt to gain unauthorized access to any part of the App or its systems
- Use automated scripts, bots, or similar tools to access the App
- Interfere with or disrupt the App's functionality or servers
- Reproduce, distribute, publicly display, or create derivative works from the App
- Sell, rent, lease, sublicense, or transfer your rights to use the App
- Upload or transmit viruses, malware, or other malicious code
- Violate any applicable laws, regulations, or third-party rights
5. User Accounts and Data
5.1 Account Creation
You may be required to create an account to access certain features of the App. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
5.2 User Content
You retain all rights to content you upload to the App (such as car photos). By uploading content, you grant us a license to use, store, process, and display your content as necessary to provide the App's services as described in our Privacy Policy.
5.3 Accuracy of Information
You agree to provide accurate, current, and complete information when creating an account and to update such information to maintain its accuracy.
7. Intellectual Property Rights
7.1 Ownership
The App, including all content, features, functionality, software, design, text, graphics, logos, and underlying technology, is owned by Appthalmology and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 User-Generated Content
You retain full ownership of car photos and images you upload. Generated images created by the App using your uploaded photos are licensed to you for personal, non-commercial use.
7.3 AI-Generated Content
Images generated by the App's AI features are created using third-party AI services and may contain watermarks or identifiers as required by those services. You may use AI-generated images for personal purposes, but commercial use may be restricted.
7.4 Trademarks
"ModLab" and associated logos are trademarks of Appthalmology Inc. You may not use these trademarks without prior written permission.
8. AI Content Disclaimer
8.1 AI-Generated Results
The App uses artificial intelligence to generate car modification visualizations. AI-generated images are approximations and may not accurately represent real-world modifications. Results may vary in quality and accuracy.
8.2 Not Professional Advice
The App is not intended to provide professional automotive design, modification, or customization advice. Generated images are for entertainment and visualization purposes only and should not be used as the sole basis for making vehicle modification decisions.
8.3 Third-Party AI Services
The App uses third-party AI services (including Replicate and other providers) to generate images. We do not control these services and cannot guarantee the quality, accuracy, or appropriateness of AI-generated content.
9. Acceptable Use Policy
You agree not to use the App to create, upload, or generate content that:
- Violates any third-party right, including copyright, trademark, or other intellectual property rights
- Is illegal, harassing, abusive, threatening, harmful, vulgar, obscene, or offensive
- Contains pornography, nudity, or graphic violence
- Promotes violence, racism, discrimination, bigotry, hatred, or physical harm
- Constitutes spam, chain letters, pyramid schemes, or duplicative messages
- Violates any law, regulation, or contractual obligations
10. Third-Party Services
The App integrates with and relies on third-party services including:
- Convex - Backend infrastructure and data storage
- Replicate - AI image generation
- RevenueCat - Subscription and payment processing
- Apple App Store / Google Play Store - Payment platforms
We are not responsible for:
- The availability, accuracy, or content of third-party services
- Third-party privacy practices or terms of service
- Any damages or losses caused by third-party services
Your use of third-party services is governed by their respective terms and privacy policies.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding accuracy, reliability, or completeness of AI-generated content
- Warranties that the App will be uninterrupted, secure, or error-free
- Warranties regarding the results obtained from using the App
12. Limitation of Liability
To the maximum extent permitted by applicable law:
12.1 Exclusion of Damages
We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- Loss of profits, revenue, or data
- Loss of goodwill or reputation
- Business interruption
- Any other intangible losses
Even if we have been advised of the possibility of such damages.
12.2 Maximum Liability
Our total liability to you for all claims arising out of or relating to these Terms or your use of the App shall not exceed the greater of:
(a) The amount you paid to us in the twelve (12) months preceding the claim, or
(b) One hundred U.S. dollars ($100.00)
13. Modifications to the App and Terms
13.1 Changes to the App
We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the App.
13.2 Changes to Terms
We may revise these Terms from time to time. The "Last Updated" date at the top indicates when they were last revised. Material changes will be notified through the App or via email (if provided). Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.
14. Termination
14.1 Termination by You
You may stop using the App and delete it from your devices at any time. Deleting the App does not automatically cancel paid subscriptions—you must cancel through your App Store or Play Store account.
14.2 Termination by Us
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms.
14.3 Effect of Termination
Upon termination:
- All licenses granted to you will immediately terminate
- You must cease all use of the App and delete it from your devices
- Your data may be deleted from our servers
- Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability
15. App Store Terms
15.1 Apple App Store
If you access the App via Apple's App Store, you acknowledge that:
- These Terms are between you and Appthalmology Inc., not Apple
- Apple has no obligation to provide maintenance or support services
- Apple is not responsible for addressing any claims relating to the App
- Apple is a third-party beneficiary of these Terms and may enforce them
15.2 Google Play
If you access the App via Google Play, you agree to Google Play's Terms of Service.
16. Geographic Availability
The App is available worldwide through the Apple App Store and Google Play Store. While the App is operated from Canada, we make no representation that the App is appropriate or available for use in all locations. Users outside of Canada access the App at their own risk and are responsible for compliance with local laws.

18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
19. Acknowledgment
By using the App, you acknowledge that you have read these Terms of Use, understand them, and agree to be bound by them. If you do not agree to these Terms, you must not access or use the App.
